Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of CalNexus, an AI-powered calendar management service operated by hansenexus GmbH ("Company", "we", "us", or "our"). By creating an account or using CalNexus, you agree to be bound by these Terms. If you do not agree, you may not use the service.

Service Description

CalNexus provides an AI-powered calendar management platform that enables users to:

• Synchronize multiple calendar sources (Google Calendar, Microsoft 365, CalDAV)
• Create and manage calendar events using voice input and natural language processing
• Automate recurring tasks with Nexus routines
• Access intelligent scheduling suggestions and conflict resolution
• Manage calendar data across multiple devices

Account Terms

Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your password and for all activities under your account.

Eligibility

You must be at least 16 years old to use CalNexus. By using the service, you represent that you meet this requirement.

Account Security

You must immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss resulting from unauthorized account access.

Subscription and Payments

Service Plans

CalNexus offers multiple subscription tiers:

• Free Plan: Basic features for personal use, available indefinitely
• Pro Plan: Advanced features with monthly or annual billing
• Team Plan: Multi-user features with custom pricing

Billing

Paid subscriptions are billed in advance on a monthly or annual basis. Payment processing is handled securely by Stripe. By subscribing, you authorize us to charge your payment method for the applicable fees.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods, except as required by law or stated in our refund policy.

Refund Policy

We offer a 30-day money-back guarantee for first-time paid subscriptions. Contact service@hansenexus.de within 30 days of your initial purchase to request a refund.

Price Changes

We may modify subscription prices with 30 days' notice. Existing subscribers will retain their current pricing until the next renewal period.

Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the service or servers
• Use automated systems (bots, scrapers) without permission
• Upload malicious code, viruses, or harmful content
• Impersonate others or provide false information
• Use the service to send spam or unsolicited communications
• Violate the rights of others, including intellectual property rights

Intellectual Property

Our Rights

CalNexus, including its design, features, source code, and content, is owned by hansenexus GmbH and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the service without our written permission.

Your Calendar Data

You retain all rights to your calendar data. By using CalNexus, you grant us a limited license to process your data solely to provide the service. We do not claim ownership of your content.

Feedback

If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use and incorporate such feedback into our service.

Third-Party Services

CalNexus integrates with third-party calendar providers (Google, Microsoft, etc.). Your use of these integrations is subject to their respective terms and privacy policies. We are not responsible for third-party services or their content.

Service Availability

Uptime

We strive to maintain 99.9% service availability, but we cannot guarantee uninterrupted access. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Maintenance

We may perform scheduled maintenance with advance notice. Emergency maintenance may occur without notice.

Termination

Termination by You

You may terminate your account at any time through the account settings or by contacting service@hansenexus.de. Your data will be deleted in accordance with our Privacy Policy.

Termination by Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other legitimate reason. We will provide notice when reasonably possible.

Effect of Termination

Upon termination, your right to use the service ceases immediately. Paid subscriptions are non-refundable except as required by law or our refund policy.

Limitation of Liability

Service Provided "As Is"

CalNexus is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Damages

To the maximum extent permitted by German law, hansenexus GmbH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the service.

Liability Cap

Our total liability for any claims arising from these Terms or your use of CalNexus shall not exceed the amount you paid us in the 12 months preceding the claim.

Exceptions

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under German law.

Indemnification

You agree to indemnify and hold harmless hansenexus GmbH, its affiliates, and their respective officers, directors, and employees from any claims, damages, losses, or expenses (including legal fees) arising from your use of the service, violation of these Terms, or infringement of any rights of others.

Governing Law and Jurisdiction

Applicable Law

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict of law provisions.

Jurisdiction

Any disputes arising from these Terms or your use of CalNexus shall be subject to the exclusive jurisdiction of the courts of Hamburg, Germany.

Consumer Rights

If you are a consumer under German law, you retain all mandatory consumer protection rights, and nothing in these Terms limits such rights.

Changes to Terms

We may modify these Terms from time to time. We will notify you of significant changes via email or through the service at least 30 days before they take effect. Continued use of the service after changes constitutes acceptance of the modified Terms.

General Provisions

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and hansenexus GmbH regarding CalNexus.
